GIRLFRIENDS UNLIMITED PROGRAM TERMS OF SERVICE LICENSE AGREEMENT

Registration Process
THE GIRLFRIENDS UNLIMITED PROGRAM IS PROVIDED TO CHURCHES AND WOMEN MINISTRIES WHO OPEN AND MAINTAIN A GIRLFRIENDS UNLIMITED PROGRAM ACCOUNT WITH GROUP PUBLISHING, INC. BY COMPLETING THE REGISTRATION PROCESS AND CLICKING THE "I HAVE READ AND AGREE TO THE TERMS OF THIS AGREEMENT" BUTTON APPEARING AT THE BOTTOM OF THIS AGREEMENT, YOU EXPRESSLY AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT AND THE TERMS AND CONDITIONS OF GROUP PUBLISHING'S PRIVACY POLICY, WHICH IS PUBLISHED AT WWW.GROUP.COM, AND WHICH ARE INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO ANY OF THESE TERMS DO NOT COMPLETE THE REGISTRATION PROCESS FOR THE GIRLFRIENDS UNLIMITED PROGRAM.

Member Account, Password, and Security
To register for the Girlfriends Unlimited Program, you must provide current, complete, and accurate information on the registration form. Remember that you are responsible for all activities that occur under your account.

Fees
Group’s Girlfriends Unlimited Program is a membership-based association that becomes active immediately after you have activated your customer account with Group Publishing. Annual memberships are automatically renewed on the first day of the month after the anniversary date of membership unless written notice to discontinue your organization's membership is received by Group Publishing before the anniversary date.

Membership termination is the responsibility of the member. If you decide not to renew membership, your account will expire at the end of the month in which you notify us of your termination.

If you choose to cancel a membership, the remaining portion of the membership will be returned, less a $150 setup fee.

Girlfriends Unlimited Website
This Agreement applies to all users of the Girlfriends Unlimited Website.

The Website may contain links to third-party websites that are not owned or controlled by Group Publishing. Group Publishing has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party website. By using the Girlfriends Unlimited Website, you expressly relieve Group Publishing from any and all liability arising from your use of any third-party website. Therefore, we encourage you to be aware when you leave the Girlfriends Unlimited Website and to read the terms and conditions of and privacy policy of each third-party website you visit.

Girlfriends Unlimited Usage Limits: What You Can Do With Group Publishing's Girlfriends Unlimited Program
 Group Publishing grants you a license for the term of your membership to use the Girlfriends Unlimited Program in a single church or women's ministry; multiple users at the same location may share the Girlfriends Unlimited Program content.

You can use all Girlfriends Unlimited Program content as it’s provided, or customize it to suit your needs. Inclusion of sample forms or procedures does not mean endorsement by either the author or Group Publishing. This material is provided to you with the understanding that neither Girlfriends Unlimited, nor Group Publishing, is providing legal or other professional service, and should not be substituted for legal advise. Neither the author nor Group Publishing assumes responsibility for the outcome of the individuals or organizations utilizing the Girlfriends Unlimited Program content. You may adapt, alter, and amend any sample policy, position, or procedural form to suit your own organizational needs, mission and local laws.

You cannot use Group’s Girlfriends Unlimited Program content for commercial purposes. You may not copy or distribute any part of the Girlfriends Unlimited Program content in any medium without Group Publishing's prior written approval. The Girlfriends Unlimited Program content cannot be used for Intranet and Extranet usage. You cannot resell or repackage your account.

Group Publishing may terminate your use of the Girlfriends Unlimited Program for violation of the terms of this Agreement at any time, with prior notice and at its sole discretion. Please notify Group Publishing immediately of any unauthorized use of your account.
 
The words "Girlfriends Unlimited" and the stylized "Girlfriends Unlimited" and "g!" logos are trademarks of Group Publishing, Inc. In addition, the names of Group's Girlfriends Unlimited Program special interest groups, including but not limited to "Lit'n'Latte", "Sassy Scrapers", "Chick Flicks", and "Girlfriends' Night Out" are trademarks of Group Publishing, Inc. You may only reproduce these trademarks and logos for communication materials during the term of your membership in the Group's Girlfriends Unlimited Program. You may never reproduce these trademarks on shirts, hats, paper products or other promotional materials. All of the aforementioned trademarks and logos may not be reproduced unless you are a current member of Group's Girlfriends Unlimited Program.
 
All Group's Girlfriends Unlimited Program materials are copyrighted and may not be reproduced in any fashion, for any purpose. All artwork associated with Group's Girlfriends Unlimited Program materials are copyrighted. Please do not use the artwork associated with Group's Girlfriends Unlimited Program materials to create your own promotional materials.
 
Group Publishing may terminate your use of the Girlfriends Unlimited Program for violation of the terms of this Agreement at any time, with prior notice and at its sole discretion. Please notify Group Publishing immediately of any unauthorized use of your account.

User Conduct
Derogatory, harmful or unlawful conduct is not permitted on the Girlfriends Unlimited Website. Users are not permitted to upload to, distribute through, or otherwise publish on the Girlfriends Unlimited Website any content which is libelous, defamatory, obscene, pornographic, threatening, invasive of privacy or publicity rights, abusive, illegal or otherwise objectionable that would constitute or encourage a criminal offense, violate the rights of any party, or that would otherwise give rise to liability or violate any law.

Please be aware that generally, information you post on, upload, to or distribute through a message board, chat room, blog, or any similar feature (collectively "User Content") will be accessible by other users of the Girlfriends Unlimited Website. Please be sure that any such information is information that you are comfortable sharing with the public.

The User Content cannot contain material that infringes any copyright or trademark. The User Content also cannot be objectionable, contain software viruses, commercial solicitation, public announcements, chain letters, mass mailings, or any form of "spam."

Unauthorized collection and/or use of e-mail addresses via the Girlfriends Unlimited Website is also not allowed.

You shall be solely responsible for the User Content you submit and the consequences of posting it on the Girlfriends Unlimited Website. Group Publishing takes no responsibility and assumes no liability for any User Content posted by you on the Girlfriends Unlimited Website. You agree that you will indemnify Group Publishing or its affiliates for all claims resulting from the Content you submit and post on the Girlfriends Unlimited Website.

Intellectual Property Rights
The content and trademarks on the Girlfriends Unlimited Website and Products (collectively the "Girlfriends Unlimited Materials") are owned by or licensed to Group Publishing, subject to copyright and other intellectual property laws. The Girlfriends Unlimited Materials on the Girlfriends Unlimited Website is provided to you AS IS for your information and personal use and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise used for any other purposes without the prior written consent of the respective owners. If you download or print a copy of any Girlfriends Unlimited Materials for personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable or otherwise interfere with security related features of the Girlfriends Unlimited Website or features that prevent or restrict use or copying of any Girlfriends Unlimited Materials or enforce limitations on use of the Girlfriends Unlimited Website or the Girlfriends Unlimited Materials therein.

Warranty Disclaimer
YOU AGREE THAT YOUR USE OF THE GIRLFRIENDS UNLIMITED WEBSITE AND GIRLFRIENDS UNLIMITED MATERIALS SHALL BE AT YOUR SOLE RISK. THE WEBSITE AND THE MATERIALS INCLUDED ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, GROUP PUBLISHING AND ITS AFFILIATES DO NOT WARRANT THAT (1) THE "GIRLFRIENDS UNLIMITED MATERIALS" ARE ACCURATE, RELIABLE OR CORRECT; (2) THE WEBSITE OR SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERUPTED OR SECURE (3) THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED; OR (4) THAT THE GIRLFRIENDS UNLIMITED MATERIALS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY GIRLFRIENDS UNLIMITED MATERIALS DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE GIRLFRIENDS UNLIMITED WEBSITE ARE DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD.

Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GROUP PUBLISHING AND ALL OFFICERS, DIRECTORS, OWNERS, EMPLOYEES, AGENTS, INFORMATION PROVIDERS, AFFILIATES, LICENSORS AND LICENSEES (ALL OF THE FOREGOING, COLLECTIVELY, THE "GROUP PUBLISHING PARTIES") SHALL IN NO EVENT BE LIABLE FOR ANY CLAIMS, CHARGES, DEMANDS, DAMAGES, LIABILITIES, LOSSES, OR EXPENSES OF WHATEVER NATURE AND HOWSOEVER ARISING, INCLUDING WITHOUT LIMITATION ANY COMPENSATORY, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOSS OF USE, LOSS OF DATA, LOSS CAUSED BY A COMPUTER OR ELECTRONIC VIRUS, LOSS OF INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY, INTERRUPTION OF SERVICE, CLAIMS OF THIRD-PARTIES, OR OTHER LOSSES OF ANY KIND OR CHARACTER, EVEN IF THE GROUP PUBLISHING PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THIS GIRLFRIENDS UNLIMITED WEBSITE OR ANY WEBSITE WITH WHICH IT IS LINKED.

YOU SPECIFICALLY ACKNOWLEDGE THAT GROUP PUBLISHING PARTIES SHALL NOT BE LIABLE FOR USER CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD-PARTY AND THAT THE RISK OF HARM AND DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

Indemnity
You agree to defend and hold harmless Group Publishing Parties from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorneys' fees) arising from (i) your use of the Girlfriends Unlimited Program and access to the Girlfriends Unlimited Website; (ii) your violation of any term of this Agreement; (iii) your violation of any third-party right, including without limitation any copyright, property, privacy or publicity right; (iv) or any claim that your User Content caused damage to a third-party. This defense and indemnification will survive this Agreement and your membership in the Girlfriends Unlimited Program.

Security Information
The Girlfriends Unlimited Website has advanced security measures in place to prevent the loss, misuse or adulteration of data. These measures include Secure Socket Layer encryption and the use of a reliable firewall. Any questions or concerns about security can be addressed to the Webmaster.

Girlfriends Unlimited Privacy Policy
The Girlfriends Unlimited Website is committed to your privacy. The Girlfriends Unlimited Website does provide traffic information to third parties, including its partners, for demographics.

Use of Cookies
Cookies are pieces of information a Website transfers to your computer's hard disk for the purpose of storing your preferences on that site.

The use of cookies is an industry standard, and many major websites use them to provide useful features for their customers. It is the Girlfriends Unlimited Website policy to use cookies to identify you, allow your log-in, and improve navigation.

If you prefer, you can set your browser to reject cookies. However, you’ll not be able to log-in to the Girlfriends Unlimited Website if you do so.

Personal Information
The Girlfriends Unlimited Program's registration form requires users to give us contact information (name, address and e-mail address), and financial information (credit card numbers and/or church account numbers). This information is used to check the user’s qualifications for registration and to bill the user for products and services.

Group’s Girlfriends Unlimited Program does not store such information linked to a cookie.

We may use this information to:

Users may opt out of receiving future mailings and will be notified of how to do so. Financial information is used only for billing purposes associated with your Girlfriends Unlimited Program account.

Assignment
This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Group Publishing without restriction.

General
You agree that (i) the Girlfriends Unlimited Website shall be deemed solely based in Colorado; (ii) the Girlfriends Unlimited Website shall be deemed a passive website that does not give rise to personal jurisdiction over Group Publishing, either specific or general, in jurisdictions other than in Colorado. This Agreement shall be interpreted according to the internal substantive laws of the State of Colorado, without respect to its conflict of laws principles. Venue for any lawsuit arising out of these this Agreement shall be Larimer County, Colorado. This Agreement, together with the Privacy Policy published at www.group.com and any other legal notices published by Group Publishing on the Girlfriends Unlimited Website, shall constitute the entire agreement between you and Group Publishing concerning the Girlfriends Unlimited Program and your use of the Girlfriends Unlimited Website. If any provision of this Agreement shall be held illegal, unenforceable, or in conflict with any United States law of a federal, state, or local government having jurisdiction over this these this Agreement, the validity of the remaining portions or provisions hereof shall not be affected thereby. No waiver of any breach of, or default under, any provision of this Agreement shall be deemed a waiver of such provision, or of any subsequent breach or default. Group Publishing reserves the right to amend this Agreement at any time and without notice, and it is your responsibility to review this Agreement that is located on the Girlfriends Unlimited Website for any changes. Your use of the Girlfriends Unlimited Program and the Girlfriends Unlimited Website following any amendment of this Agreement will signify your assent to and acceptance of its revised terms. You and Group Publishing agree that any cause of action arising out of or related to the Girlfriends Unlimited Program and Girlfriends Unlimited Website must commence within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barre.

Ability to Accept This Agreement
You affirm that you are more than 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations and warranties set forth in this Agreement, and to abide by and comply with this Agreement.

ACCEPTANCE PROCEDURE
By completing the registration process for the Girlfriends Unlimited Program and by clicking on the "I HAVE READ AND AGREE TO THE TERMS OF THIS AGREEMENT" button, you represent that you have read this Agreement in its entirety, understand its terms and conditions, are duly authorized to execute this Agreement on behalf of yourself, and you agree to be bound by the terms and conditions of this Agreement.
